User Accounts and Registration

Account Creation

To access certain features of our services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Termination

Payment Terms and Billing

Automatic Renewal

Late Payments and Suspension

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of rebel iQ or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of any content you submit to our services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with providing our services.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services in accordance with these Terms.

Limitation of Liability

In no event shall rebel iQ, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Maximum Liability

Our total liability to you for any claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us in the 12 months preceding the claim.

Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

Indemnification

Effect of Termination

Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

ConversionPro Service Terms

If you subscribe to our ConversionPro service, the following additional terms apply:

Service Description: ConversionPro provides advanced conversion optimization, including but not limited to A/B testing, funnel optimization, and performance analytics.
Service Level: We will provide reasonable efforts to optimize your conversion rates, but we do not guarantee specific results or performance improvements.
Data Requirements: You agree to provide accurate and complete data necessary for optimization efforts.
Reporting: Monthly reports will be provided detailing optimization efforts and results.

Facebook Advertising Service Terms

If you use our Facebook advertising management services, the following additional terms apply:

Facebook Compliance: You acknowledge that Facebook advertising is subject to Facebook's terms of service and advertising policies, which may change without notice.
Ad Spend: You are responsible for all Facebook ad spend, which is separate from our service fees.
Account Access: You grant us access to your Facebook advertising account for management purposes.
Performance Disclaimers: While we use best practices for Facebook advertising, we cannot guarantee specific results, click-through rates, conversion rates, or return on ad spend.
Policy Violations: You acknowledge that Facebook may disapprove ads or suspend accounts for policy violations, and we are not liable for such actions by Facebook.

Google Advertising Service Terms

If you use our Google advertising management services, the following additional terms apply:

Google Compliance: You acknowledge that Google advertising is subject to Google's terms of service and advertising policies, which may change without notice.
Ad Spend: You are responsible for all Google ad spend, which is separate from our service fees.

Compliance and Regulatory Considerations

RESPA Compliance

Our services are designed to help you comply with the Real Estate Settlement Procedures Act (RESPA). However, you are ultimately responsible for ensuring your marketing practices comply with RESPA and all other applicable laws.

State Licensing

You represent and warrant that you hold all necessary licenses and certifications required to conduct mortgage lending business in the jurisdictions where you operate.

Fair Lending

You agree to comply with all fair lending laws and regulations, including the Equal Credit Opportunity Act (ECOA) and Fair Housing Act.

Miscellaneous Provisions

Entire Agreement

These Terms constitute the entire agreement between you and rebel iQ regarding the use of our services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.

Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.
